Unless you have a lot of other mods into your rig, it will be a lot cheaper to go out and buy another Jeep with the 4.0 already in it. The nightmare you would have to go through - trans. swap, wiring, computer, motor mounts, radiatior, etc. - it's just not worth the time and money.
